Corporate / M&A Attorney (Florida Bar) - Onsite | Boca Raton, FL | Base starts at $150K
A boutique law firm in Boca Raton, Florida is seeking a Corporate / M&A Attorney with an active Florida Bar license and 5+ years of corporate law experience to join its growing transactional practice. This is an onsite position offering sophisticated deal work, meaningful client contact, and the opportunity to take ownership of matters from diligence through closing.
What You'll Do
- Lead and support M&A transactions (asset and stock deals), including structuring, due diligence, drafting, negotiation, and closing.
- Draft and negotiate a variety of corporate and commercial documents, including:
- purchase agreements, disclosure schedules, LOIs, term sheets
- operating agreements, shareholder agreements, partnership agreements
- corporate governance documents, resolutions, minutes, formation filings
- commercial contracts (MSAs, SaaS/software, vendor/service agreements, licensing, NDAs)
- Advise clients (often closely held businesses and entrepreneurs) on day-to-day corporate matters, risk, and growth initiatives.
- Coordinate with client stakeholders, opposing counsel, accountants, lenders, and other advisors to move deals forward efficiently.
- Manage multiple matters simultaneously while maintaining excellent drafting quality and attention to detail.
What We're Looking For
- J.D. from an accredited law school
- Active Florida Bar membership in good standing
- 5+ years of relevant experience in corporate law and M&A (law firm experience)
- Strong drafting and negotiation skills; solid judgment and ability to work independently
- Client-ready communication skills and a practical, business-minded approach
- Ability to work onsite in Boca Raton, FL (this is not a remote role)
Compensation & Benefits
- Base salary starting at $150,000 (commensurate with experience; additional compensation may be available depending on background and fit)
