Job Description:

We are seeking a highly skilled and motivated Corporate Paralegal with at least 3 years of experience to join our client's dynamic legal team. The ideal candidate will be bilingual (Spanish/English) and have expertise in corporate law, with a focus on supporting legal teams in a fast-paced environment. This position offers a hybrid work model, providing flexibility while ensuring active participation in the office as needed.

Key Responsibilities:

  • Assist attorneys in corporate transactions, including mergers and acquisitions, corporate governance, and entity formation.
  • Prepare, review, and manage corporate documents such as articles of incorporation, bylaws, operating agreements, and shareholder agreements.
  • Support in drafting and filing compliance documents with state and federal agencies.
  • Maintain corporate records, including minute books and shareholder registers.
  • Prepare for and assist in corporate meetings, including taking minutes and preparing resolutions.
  • Manage contracts, ensuring proper execution, tracking renewal dates, and assisting with contract reviews.
  • Provide bilingual (Spanish-English) support to clients and internal teams, including translating documents and communications as necessary.
  • Conduct research on corporate laws and regulations, providing recommendations based on findings.
  • Manage corporate litigation matters as directed by the legal team.
  • Assist in due diligence efforts for corporate transactions, including document review and organization.
  • Provide administrative support to the legal team, including preparing and filing documents with courts and regulatory bodies.

Required Qualifications:

  • At least 3 years of corporate paralegal experience.
  • Proficient in both English and Spanish (written and spoken).
  • Strong knowledge of corporate law and governance, with experience in M&A, entity formation, and compliance.
  • Excellent organizational skills and attention to detail.
  • Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
  • Strong written and verbal communication skills.
  • Proficient with Microsoft Office Suite and legal document management software.
  • Ability to work independently and collaboratively as part of a legal team.
  • Ability to work in a hybrid environment and commute to the office as needed.
  • Must be able to read, write and speak Spanish

Preferred Qualifications:

  • Paralegal Certification or equivalent.
  • Experience with corporate litigation or securities law.
  • Experience with contract management tools or databases.
