Ascendo Resources is working with a respected and collaborative mid-sized law firm is seeking an Experienced Corporate Paralegal to join its busy and dynamic corporate practice group. This is a great opportunity for a detail-oriented and proactive professional who thrives in a fast-paced legal environment supporting attorneys with complex business transactions.

The ideal candidate will bring a strong foundation in corporate legal work, a high degree of professionalism, and the ability to manage multiple priorities efficiently.

What You’ll Be Doing:

  • Drafting and maintaining corporate governance documents such as minute books, stock ledgers, capitalization tables, and organizational charts
  • Supporting attorneys on private equity and M&A transactions from formation through closing
  • Preparing entity formation documents and state filings
  • Organizing and assembling closing documents and preparing closing binders
  • Managing transaction checklists and timelines
  • Coordinating signatures and compiling execution packages
  • Filing formation and compliance documents with Secretaries of State (including NC, DE, and others)
  • Obtaining certified documents and UCC searches via third-party providers
  • Drafting resolutions, board consents, and shareholder meeting minutes
  • Assisting with SEC filings, including EDGAR access codes and Form D notices
  • Researching federal and state securities law compliance requirements
  • Communicating with clients and third parties in a professional and timely manner

Qualifications:

  • Minimum 8 years of corporate paralegal experience in a law firm or in-house legal department
  • Strong technical proficiency in Microsoft Word, Excel, DocuSign; experience with Carta is a plus
  • Exceptional organizational skills and acute attention to detail
  • Ability to work independently and take initiative
  • Excellent written and verbal communication skills

Education & Credentials:

  • Bachelor’s degree or equivalent professional experience required
  • Completion of an ABA-approved paralegal program or North Carolina State Paralegal Certification preferred

 

This is a full-time opportunity, with remote work option, but candidates must reside in NC, SC, or GA.
